1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Routed Labs, Inc. ("Tytanium," "we," "us," or "our") concerning your access to and use of the Tytanium eSIM API platform and related services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your API keys and passwords secure and confidential
• Notify us immediately of any unauthorized access or security breaches
• Accept responsibility for all activities under your account

4. Services Description

Tytanium provides a REST API platform for provisioning, activating, and managing eSIM profiles for IoT devices. Our services include:

• eSIM profile provisioning via API
• Global cellular connectivity across 400+ networks
• Fleet management and device organization
• Real-time telemetry and usage monitoring
• Webhook notifications for device events

5. Acceptable Use

You agree to use our services only for lawful purposes. You may not:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Use our services for fraudulent purposes
• Resell or redistribute our services without authorization
• Abuse or overload our infrastructure
• Reverse engineer or decompile our software

6. Pricing and Payment

Our pricing is available on our website and may be updated from time to time. You agree to pay all fees associated with your use of our services.

• All fees are in USD and non-refundable except as required by law
• Payment is processed through Stripe
• You authorize us to charge your payment method for all applicable fees
• Late payments may result in service suspension
• You are responsible for all taxes associated with your purchases

7. API Usage and Rate Limits

We may impose rate limits on API usage to ensure service quality. Exceeding these limits may result in temporary throttling or suspension of access. We reserve the right to modify rate limits at our discretion.

8. Intellectual Property

All intellectual property rights in our services, including software, documentation, trademarks, and content, are owned by Routed Labs, Inc. or our licensors. These Terms do not grant you any ownership rights.

You are granted a limited, non-exclusive, non-transferable license to access and use our services in accordance with these Terms.

9. Service Level and Availability

While we strive to provide reliable service, we do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect service availability.

Enterprise customers may be eligible for Service Level Agreements (SLAs) with specific uptime guarantees.

10. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to our data practices as described in the Privacy Policy.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our services will meet your requirements, be uninterrupted, timely, secure, or error-free.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUTED LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Routed Labs, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another party.

14. Termination

We may suspend or terminate your access to our services at any time, with or without cause or notice, including for violations of these Terms. Upon termination:

• Your right to use our services immediately ceases
• You remain liable for all fees incurred prior to termination
• We may delete your data in accordance with our data retention policy

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our platform. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.
